Agreement to Terms

These Terms & Conditions ("Terms") govern your access to and use of apexlab.org, any account features, and any purchase from Apex Laboratory ("Apex," "we," "us," or "our"). By using the website, creating an account, adding products to cart, submitting an order, or contacting support, you agree to these Terms and to our Privacy Policy, Shipping Information, and Return Policy.

If you do not agree to these Terms, do not use the website or purchase products from Apex Laboratory.

Research Use Only

All products sold by Apex Laboratory are intended strictly for lawful in-vitro laboratory research use only. Products are not intended for human or veterinary use and are not intended for consumption, ingestion, inhalation, injection, topical application, diagnostic use, therapeutic use, clinical use, cosmetic use, food use, supplement use, or any other use outside lawful laboratory research.

Products are not drugs, dietary supplements, foods, cosmetics, medical devices, or treatments. They have not been evaluated or approved by the U.S. Food and Drug Administration for human or veterinary use.

Buyer Eligibility & Responsibility

By placing an order, you represent and warrant that:

• You are at least 21 years old.
• You are purchasing solely for lawful research purposes.
• You are qualified, trained, and authorized to handle research materials.
• Your purchase and intended use comply with all applicable federal, state, local, institutional, and laboratory rules.
• You will safely handle, store, label, transport, and dispose of products in accordance with applicable laws and safety practices.
• You will not resell, redistribute, relabel, repackage, or transfer products for prohibited use.

You are solely responsible for determining whether a product is lawful and appropriate for your research setting, jurisdiction, institution, and protocol.

Product Information, COAs & Availability

We work to provide accurate product names, strengths, images, descriptions, prices, certificates of analysis, and availability information. Product images, packaging details, inventory status, and labels may change as batches, suppliers, or packaging processes change.

Certificates of analysis and testing information are provided for transparency and batch verification. They do not convert products into drugs, treatments, supplements, or products suitable for human or animal use. You are responsible for reviewing labels, COAs, storage instructions, and all applicable safety information before use.

We may correct errors, update product pages, remove products, substitute packaging, limit quantities, or cancel unavailable items at any time.

Orders, Acceptance & Payment

Submitting an order does not guarantee acceptance. All orders are subject to payment authorization, fraud screening, inventory availability, compliance review, shipping feasibility, and our final acceptance.

• We may refuse, hold, cancel, limit, or refund any order at our discretion.
• We may contact you for order verification, address clarification, eligibility confirmation, or compliance concerns.
• Prices, promotions, shipping charges, taxes, and product availability may change without notice.
• Typographic, pricing, inventory, or technical errors may be corrected, including after an order is submitted.
• Payment is processed by third-party payment providers. You agree to provide accurate billing and payment information and authorize charges for your order.

If payment is reversed, disputed, declined, or flagged, we may suspend fulfillment, cancel the order, restrict future ordering, or pursue available remedies.

Shipping, Risk of Loss & Returns

Shipping details, handling windows, carrier practices, tracking, domestic coverage, and delivery issue procedures are described in our Shipping Information. Returns, refunds, damaged shipments, missing packages, incorrect items, cancellations, and replacement procedures are governed by our Return Policy.

Risk of loss and title pass to you when we deliver the package to the carrier, subject to any replacement or support commitments stated in our posted policies. You are responsible for providing a complete, accurate, deliverable shipping address at checkout.

No Medical Advice or Professional Advice

Website content is provided for general educational, commercial, and research-reference purposes. It does not constitute medical, veterinary, diagnostic, therapeutic, legal, tax, safety, regulatory, or other professional advice.

Prohibited Uses

• Interfere with site security, scrape content at abusive volume, attempt unauthorized access, submit false information, or misuse checkout or coupon systems.
• Use Apex trademarks, product images, COAs, copy, or branding in a misleading or unauthorized way.

Accounts, Intellectual Property & Site Content

You are responsible for maintaining the confidentiality of your account credentials and for activity under your account. Notify us promptly if you believe your account has been accessed without authorization.

All website content, including text, design, graphics, images, logos, product photography, labels, COAs, page layouts, icons, software, and branding, is owned by Apex Laboratory or its licensors and is protected by intellectual property laws. You may not copy, reproduce, modify, distribute, frame, scrape, publish, or create derivative works from our content except for ordinary personal or internal research-purchasing reference use.

Disclaimers, Liability & Indemnity

To the fullest extent permitted by law, the website and products are provided on an "as is" and "as available" basis without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, uninterrupted operation, or error-free performance.

To the fullest extent permitted by law, Apex Laboratory will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages; loss of profits; loss of data; laboratory downtime; reputational harm; procurement replacement costs; or damages arising from misuse, unlawful use, or unauthorized handling of products. Our total liability for a claim will not exceed the amount you paid for the product or order giving rise to the claim.

You agree to indemnify and hold harmless Apex Laboratory and its owners, employees, contractors, suppliers, processors, and affiliates from claims, losses, liabilities, damages, costs, and expenses arising from your use of the site or products, violation of these Terms, unlawful conduct, misuse of products, or violation of another person's rights.

Governing Law, Changes & Severability

These Terms are governed by the applicable laws of the United States and the state in which Apex Laboratory operates, without regard to conflict-of-law principles, unless a different law is required by applicable consumer protection rules.

We may update these Terms from time to time. The effective date above reflects the latest version. Your continued use of the website or submission of an order after changes are posted means you accept the updated Terms.

If any provision is found unenforceable, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions will remain in effect. Our failure to enforce a provision is not a waiver of our right to enforce it later.
